INNIO Group has signed a definitive agreement with Enerflex to acquire its aftermarket business operations in Australia, Thailand, and Indonesia. The transaction advances INNIO’s strategy to strengthen its presence in the Asia-Pacific (APAC) region and enhance customer proximity. The transaction is subject to customary closing conditions and regulatory approvals. Closing is expected during the second half of 2026.
The Enerflex APAC aftermarket business operates principally in three countries and eight locations. The company has extensive workshop and office space, as well as a strong installed base. This base is supported by long-term service agreements with major oil and gas companies.
Following closing of the acquisition, Enerflex will continue to deliver engineered systems solutions in APAC, including natural gas compression, processing, and electric power generation through local sales teams with equipment manufactured from the company’s three facilities in North America.
“I would like to thank our strong team in the APAC region for their commitment to Enerflex and their contributions as we built a leading AMS [after-market services] business in the APAC region,” said Paul Mahoney, president and chief executive officer at Enferflex. “The accretive divestiture announced today underscores Enerflex’s commitment to simplifying and optimizing our operations while sharpening our focus on our core regions of North America, Latin America, and the Middle East. Enerflex and INNIO share a long-standing global relationship, including Enerflex’s role as a channel partner across our core regions, and we look forward to building on this partnership.”
This acquisition will allow INNIO to complement its portfolio in APAC and reinforce its commitment to customer-centric solutions. It also provides a solid platform for future growth in the region, building on INNIO’s acquisition of Souer in Thailand in 2024 (see INNIO Expands Asia Pacific Presence, December 9, 2024).
“By integrating Enerflex’s expertise in the APAC region, we strengthen our service portfolio, deliver greater customer value, and accelerate growth in APAC,” said Dennis Schulze, chief financial officer of INNIO Group. “Enerflex has been a valued and long-standing partner of INNIO, and we look forward to building on this partnership in the future.”
